TERMS OF SERVICE & CLINICAL AGREEMENT

1. Scope of Professional Counseling Services
Melanie L. Counseling LLC provides professional outpatient mental health counseling, psychoeducational consultations, and therapeutic advisory services under applicable state licensing board standards [TO BE CONFIRMED: Clinical License State & Registration Number]. The therapeutic relationship is established solely upon the execution of an individualized clinical intake assessment and informed consent agreement.
Services provided via telehealth or digital communications require client presence within licensed jurisdictions at the time of session delivery. Emergency crisis interventions are not offered via standard web communication or asynchronous messaging. In acute psychiatric emergencies, clients must contact local emergency services or dial 988 immediately.
2. Payment Terms, Billing, & Fee Schedule
All professional fees are due at the time of service rendering unless an explicit prior written billing arrangement exists. Accepted payment methods include major credit cards, debit cards, and approved HSA/FSA instruments processed through our secure, HIPAA-compliant billing gateway [TO BE CONFIRMED: Payment Merchant Provider].
Cancellations or appointment rescheduling must be submitted at least 24 hours prior to the scheduled session time. Appointments cancelled with less than 24 hours notice, as well as missed appointments without notice, will incur a full session cancellation charge of [TO BE CONFIRMED: Standard Cancellation Fee Amount]. Outstanding account balances exceeding 30 calendar days may result in suspension of non-emergency clinical scheduling.
3. Intellectual Property & Proprietary Materials
All website content, psychoeducational worksheets, therapeutic frameworks, clinical toolkits, published articles, logos, and digital downloads available through Melanie L. Counseling LLC remain the exclusive intellectual property of the practice and are protected by United States and international copyright laws.
Clients and website visitors are granted a limited, revocable, non-transferable license to review and download single copies of provided therapeutic worksheets strictly for personal, non-commercial self-care use. Redistribution, commercial reproduction, public broadcasting, or derivative modification of practice materials without prior written consent is strictly prohibited.
4. Confidentiality, Privacy, & Health Records
Client confidentiality is rigorously safeguarded in compliance with the Health Insurance Portability and Accountability Act (HIPAA), relevant state mental health privacy statutes, and professional clinical ethical codes. Protected Health Information (PHI) is maintained in encrypted electronic health record systems.
Mandatory statutory exceptions to confidentiality include: (a) reasonable suspicion or evidence of child, elder, or dependent adult abuse; (b) explicit, serious threats of imminent physical harm to self or identified individuals; (c) valid judicial court orders or subpoenas compliant with applicable health privacy regulations; and (d) emergency medical medical triage where client authorization cannot be obtained.
5. Dispute Resolution & Governing Law
These terms and all professional relationships shall be governed by, construed, and enforced in accordance with the laws of [TO BE CONFIRMED: Governing State/Jurisdiction], without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this agreement shall first be submitted to good-faith mediation conducted by a mutually agreed mediator.
If mediation does not resolve the controversy within 60 calendar days, the dispute shall be resolved through binding arbitration administered in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA) in [TO BE CONFIRMED: County, State]. 6. Termination, Severability, & Agreement Updates
Either party may terminate the counseling or advisory engagement at any time with reasonable notice. Clinical transition planning and referral assistance will be provided in accordance with professional ethical standards. If any provision of these terms is deemed unlawful, void, or unenforceable by an arbitrator or court of competent jurisdiction, that specific provision shall be severed without impairing the validity of remaining clauses.
Melanie L. Counseling LLC reserves the right to revise these document terms periodically. The most recent version will always be maintained on this webpage with the revised effective date clearly stated. Continued utilization of practice services or website resources following notice of changes constitutes agreement to updated terms.
